LEGAL VENDOR'S AGREEMENT
ZAK Bazaar Marketplace ("Platform", "Marketplace", "Service Provider", "ZAK") & the Vendor
This Agreement governs the Vendor's use of "ZAK Bazaar Marketplace" for advertising, promoting, marketing, networking, and facilitating contact between Vendors and Customers.
ZAK Bazaar Marketplace provides a digital platform through which Vendors may promote and market their products and services.
ZAK Bazaar Marketplace is not the manufacturer, owner, distributor, importer, reseller, supplier, or guarantor of any products or services offered by Vendors unless expressly agreed in writing.
The Vendor confirms that:
The Vendor shall be solely responsible for: product quality, service quality, product quantity, customer satisfaction, product safety, product authenticity, product descriptions, and compliance with applicable laws and regulations.
The Vendor shall ensure that products delivered to customers match the description, specifications, images, quality, and quantity advertised.
The Vendor agrees:
ZAK Bazaar Marketplace reserves the right to remove, reject, suspend, or modify listings that appear misleading, unlawful, offensive, or inaccurate.
The Vendor agrees to maintain professional customer service, respond to customer inquiries promptly, resolve complaints fairly and professionally, and cooperate with ZAK Bazaar Marketplace in resolving customer disputes.
The Vendor shall maintain a clearly defined return, refund, cancellation, and exchange policy. The Vendor shall disclose such policies before accepting orders, honor valid refund obligations, compensate customers where legally required, and handle all return and refund disputes directly with customers.
ZAK Bazaar Marketplace shall not be liable for refund obligations unless expressly stated otherwise in writing.
The Vendor shall ensure timely dispatch and delivery, appropriate packaging, safe handling of products, and delivery standards consistent with customer expectations. Any delays, damages, shortages, or delivery failures shall remain the Vendor's responsibility.
Food Vendors additionally agree to comply with all applicable food safety laws in Pakistan, comply with Punjab Food Authority regulations where applicable, comply with provincial food authority regulations in their operating jurisdiction, maintain proper hygiene standards, ensure safe preparation, storage, transportation, and delivery of food, and ensure food products are fit for human consumption.
Food Vendors accept full responsibility for food quality, contamination, spoilage, allergies, foodborne illness claims, and food safety compliance.
The Vendor shall obtain and maintain all licenses, registrations, approvals, permits, and certifications required under applicable law, including but not limited to food licenses, product certifications, health-related approvals, import permissions, beauty and cosmetic approvals, and professional service licenses.
Failure to maintain required approvals shall constitute a material breach of this Agreement.
The Vendor shall be solely responsible for income tax obligations, registration with the Federal Board of Revenue (FBR) where required, sales tax obligations, filing tax returns, provincial taxes, and payment of all applicable taxes and duties.
ZAK Bazaar Marketplace accepts no responsibility for the Vendor's tax liabilities.
For Non-Food Vendors: Advertisements shall generally be updated on Tuesdays and Fridays. To ensure timely publication, Vendors shall submit complete advertisement material at least 12 hours before the scheduled update.
For Food Vendors: Advertisements may be updated daily, subject to operational requirements and timely submission of content.
ZAK Bazaar Marketplace does not guarantee publication times and reserves the right to refuse or delay publication.
The Vendor warrants that all logos, images, photographs, trademarks, videos, advertising materials, product descriptions, and promotional content supplied to ZAK Bazaar Marketplace are lawfully owned or licensed by the Vendor.
The Vendor shall compensate ZAK Bazaar Marketplace against any copyright, trademark, or intellectual property claims.
The Vendor shall not advertise or sell: fake products, prohibited medicines, illegal products, fraudulent services, stolen goods, unlicensed regulated products, or products prohibited under Pakistani law. ZAK Bazaar Marketplace may remove such listings immediately without notice.
The Vendor acknowledges that ZAK Bazaar Marketplace operates primarily as an advertising, networking, marketing, and marketplace platform; transactions occur directly between Vendor and Customer unless otherwise agreed; ZAK Bazaar Marketplace does not guarantee sales, profits, customer traffic, or business success; and ZAK Bazaar Marketplace does not warrant the accuracy of customer information.
To the fullest extent permitted by Pakistani law, ZAK Bazaar Marketplace shall not be liable for product defects, regulatory penalties imposed on Vendors, product quality issues, Vendor business losses, delivery failures, food safety incidents, customer disputes, or Vendor tax liabilities. The Vendor assumes full responsibility for its business activities.
The Vendor agrees to indemnify and hold harmless ZAK Bazaar Marketplace, its owners, officers, employees, representatives, and affiliates from any claims, losses, damages, penalties, legal costs, or liabilities arising from Vendor products, Vendor services, regulatory violations, food safety breaches, tax breaches, customer complaints, or intellectual property claims.
ZAK Bazaar Marketplace may suspend or terminate Vendor access immediately if false information is provided, fraudulent conduct is suspected, regulatory violations occur, repeated customer complaints are received, or this Agreement is breached.
The Vendor acknowledges that customer reviews and feedback may be collected by ZAK Bazaar Marketplace. Such feedback may be used to improve marketplace trust, transparency, and service quality.
This Agreement shall be governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan.
The parties shall first attempt to resolve disputes amicably through negotiation. If unresolved, disputes shall be submitted to the courts of Pakistan having competent jurisdiction.
This Agreement constitutes the entire agreement between the parties and replaces any previous verbal or written understandings.
